Framework terms for work performed by PageRank Kings LLC, a Connecticut limited liability company, under an accepted order, statement of work or change order.
Orders and precedence
An accepted order identifies deliverables, exclusions, fees, timing, dependencies and acceptance criteria. A negotiated order controls over this framework only where it expressly says so.
Customer cooperation and change control
The customer supplies authorized content, decisions, access and approvals on time. Material additions, changed dependencies or delayed inputs can change schedule and price only through documented scope control.
Fees, taxes and suspension
One-time, recurring and usage charges are disclosed in the order. Undisputed invoices are due as stated. PageRank Kings provides notice and a reasonable cure path before service limitation, except urgent security or unlawful-use action.
Warranties and acceptance
PageRank Kings will perform professional services with reasonable care and test against documented acceptance criteria. Third-party platforms, rankings, revenue, uninterrupted operation and results outside PageRank Kings control are not guaranteed.
Confidentiality and data
Each party protects non-public information with reasonable care and uses it only for the relationship. Regulated or specially protected data requires a written scope and suitable controls before transfer.
Liability and Connecticut law
Final limitations, indemnities, dispute procedure, governing law and venue require Connecticut counsel review before activation. Nothing in this draft waives rights that applicable law does not allow a party to waive.
